Is there a way to safely manually perform the upgrade? I have tried just copying files to the appropriate places on the server but this does not work as the serial number is lost.

Make sure that the NLM's are unloaded when you run the upgrade, that the files are flagged r/w/s and that you are logged in as Admin (supervisor on 3.x).
